Corporate governance
Corporate governance of RISE Research Institutes of Sweden AB (RISE AB) is based on the Swedish Government’s owner policy and guidelines for state-owned enterprises, the Swedish Companies Act (SFS 2005:551) and the Swedish Corporate Governance Code. The guidelines state that the Code is applied in accordance with the principle of ‘comply or explain’, which means that any failure on the part of RISE AB to comply with the Code must be explained.
RISE Research Institutes of Sweden AB, company registration number 556464-6874, is registered as a limited company in Sweden and is wholly owned by the Swedish State.
The purpose of the organisation is to be profit-driven but not to pay dividends to the shareholder. The company’s registered office is in Gothenburg, Sweden. RISE primarily conducts industrial research in institute form and carries out testing, certification and training.
The RISE group (known collectively as RISE) consists of parent company RISE Research Institutes of Sweden AB and a number of wholly owned and partly owned subsidiaries.

Merger
On 25 June 2018, Research Institutes of Sweden Holding AB was dissolved through a merger with RISE Research Institutes of Sweden AB. In short, this means that all assets and debts have been transferred to RISE Research Institutes of Sweden AB and that the Government Offices of Sweden is now the sole owner of RISE Research Institutes of Sweden AB. RISE Research Institutes of Sweden Holding AB has thereby ceased to exist as a legal entity.
